TERMS AND CONDITIONS

1. Custom Website Design. A template will be used as a base and will be redesigned to suite the branding of "COMPANY NAME". Design will be approved by client before website is built. After the site is built changes are limited to copy and images only and not layout or design and concept.

2. Website build

I. Performance Liability. Hosting Whilst every endeavour will be made to ensure that the website and any scripts or programs are free of errors, Graphic + Web Design Sydney cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it. Whilst Graphic + Web Design Sydney recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service. Graphic + Web Design Sydney cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

ii. Compatibility - Graphic + Web Design Sydney will ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the 3 major web browsing software Internet Explorer Version 6, Safari and Firefox. Graphic + Web Design Sydney can offer no guarantees of correct function with all other less popular browser software.

3. Supply of Text, Images, Design Questionaire. It is inperative that all required information about "COMPANY NAME" is supplied and within 3 months of commencement of project. Including- text, images, design questionaire. It is in the clients best interest to supply as much as possible to be able to design and build an effective website which accurately reflects the business's services. If materials are not supplied within 3 months the website will be built according to the information supplied. If or when materials are supplied after the 3 months a late fee may apply.

3. Search Engine Optimisation (SEO). The website will be designed to be SEO compliant only. Not guaranteeing any high rankings in search engines. Many website designers do not create sites for SEO. SEO Compliance is a complimentary service provided by Graphic + Web Design Sydney. SEO itself, is a much more detailed and lengthy process. Further SEO will incur extra costs.

4. Copyright to Web Pages and Images. Copyright to the finished assembled website produced by Graphic + Web Design Sydney, will be owned by "COMPANY NAME", upon final payment of this contract. Graphic + Web Design Sydney will take no responsibility to the copyright of images supplied by the client.

5. Changes. Changes for the first 3 months are included in the initial quote. Changes do not include concept, design or layout changes after the initial design is approved. Changes include copy changes and adding or removing images. After 3 months changes or additions will cost $45/hour or a fixed price.

6. Authorisation. The above-named client is engaging Graphic + Web Design Sydney to design and develop their website, As "COMPANY NAME" site will be hosted by a third party Internet Service Provider (ISP) "COMPANY NAME" hereby authorises Graphic + Web Design Sydney, to set up the account and access this account. "COMPANY NAME" also authorises Graphic + Web Design Sydney, to publicise their completed Web site to Web search engines, as well as other Web directories and indexes, if this is included in the scope of the project.

7. Completion Date. Graphic + Web Design Sydney, and "COMPANY NAME" must work together to complete the project in a timely fashion. We agree to work expeditiously to complete the project no later than 4 weeks after signed agreement.

8. Cost. Work under this contract shall be billed at the agreed price. Website Hosting for 1 year using Graphic + Web Design Sydney's Preferred Host is included in the quoted price. If "COMPANY NAME" prefer to use an alternative host then they are liable for the expense.

9. Payment Terms. A deposit of 25% of the total estimated project is required. The remaining 75% on completion of the project. It is imperative that payments be made promptly and as detailed in this contract. Source files will be stored temporarily, for client review, on "COMPANY NAME" P/L's ISP account and will be uploaded to go live when full payment is received. Graphic + Web Design Sydney, reserves the right to remove Web pages from viewing on the Internet until final payment is made.

10. Sole Agreement. The agreement contained in this "Service Agreement" constitutes the sole agreement between Graphic + Web Design Sydney, and "COMPANY NAME" regarding the project outlined above. Any additional work not specified in this contract requires a separate agreement. All prices specified in this contract will be honoured for 3 months after both parties sign this contract. Continued services after that time will require a new agreement.

11. Initial Payment and Refund Policy. This agreement begins with an initial payment of 25% or the quoted price. If "COMPANY NAME" halts work and applies for a refund within 30 days, to Graphic + Web Design Sydney, work completed shall be billed at the hourly rate of $45/hour. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, "COMPANY NAME" shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract. All work that has been completed within the hourly rate paid will be transferred to "COMPANY NAME".

The undersigned agrees to the terms of this contract on behalf of his or her organisation or business.
